Opening an Office in Bulgaria
If your Company or Business is planning to open an office in Bulgaria or conduct business there you may be asked to provide Notarised and Legalised Company documentation which may include the following:-
– Evidence of the Company’s registration with the Registrar of Companies for England & Wales (Companies House).
– Evidence of who the Directors of the Company are.
– Certified copies of the Company’s accounts.
– Evidence of any change of name of the Company since the date of its incorporation.
– Certified copies of the Company’s constitution documents, such as the Memorandum and Articles of Association.
– A certified copy of a Certificate of Good Standing relating to the Company.
– A Power of Attorney to nominate and appoint an attorney or attorneys, such as a local lawyer in Bulgaria to act on the Company’s behalf in relation to specific or general matters.
It is most likely that the request will be to have the Company documentation “Notarised” and “Legalised”.
How to get the Company documentation “Notarised”
A document is “Notarised” when it has been signed and sealed by a Notary Public.
In order to get a document Notarised it is necessary to make an appointment to see a Notary Public.
The Notary will charge a fee for Notarising the document(s), which varies from Notary to Notary. A Notary usually charges a fixed fee or on an hourly basis at an equivalent rate to a commercial Solicitor.
English Notaries are public officials and trusted lawyers. The certificates they prepare are relied on worldwide.
When a recipient receives a document that has been “Notarised” or a Notarial Certificate he or she can take the information contained as factually correct or as absolute proof.
A common reason for a recipient to request a document to be “Notarised” is to ensure that the correct signatory has signed.
How to get the Company documentation “Legalised”
A document is “Legalised” when it has obtained the UK Government’s confirmation that a public official’s signature, seal or stamp on the document is genuine.
A Notary Public is a public official.
After a Notary has signed and sealed a document it can then be “Legalised”.
The Govenment body that Legalises documents in the UK is the Foreign & Commonwealth Office, known as the FCO. There are two Legalisation offices in England, one in Milton Keynes and the other in London.
The method of Legalisation is by the affixing of a certificate called an “Apostille” to a document which confirms the document has been signed, sealed or stamped by a public official such as Notary Public.
